Definition

What is technology due diligence?

Technology due diligence is an independent, evidence based review of a target’s technology, cyber security and AI before money changes hands: what the systems really are, what they cost to run and fix, where the risks sit, and what the buyer will need to spend after the deal. Good technology due diligence turns surprises into priced findings before they become the buyer’s problem.

Intelance delivers the same discipline beyond deals: board assurance packs, independent technology audits and AI assurance reviews, because boards and programmes need proof for exactly the same reason investment committees do. Every engagement is partner led, fixed fee and written for the decision it serves.

Preparing for a process? Our technology due diligence checklist for UK private equity sets out what gets examined and why.

In practice, that means
01

Read the estate

Systems, architecture, contracts and the technical debt the data room does not mention.

02

Quantify the exposure

Cost to run, cost to fix and CapEx ahead, in numbers an investment committee can price.

03

Check cyber and AI

Controls verified and AI claims examined rather than taken from the management pack.

04

Report for the decision

Findings written for the committee, board or bank that has to act on them.

The deal timeline

Where are you in the deal?

Assurance is bought before a decision. Each stage of a deal has its own service, its own fee and its own clock. Start wherever the deal is.

Running four or more deals a year?

The PE diligence retainer gives unlimited red flag screens and priority mobilisation from £8,000 per month, with sixty day cancellation.

About the retainer

No deal in sight? Boards and programmes need the same proof: the board assurance pack and independent technology audit apply the same discipline to decisions at home.

Why Intelance

The rules this work runs under

01

Partner led on deal timelines

A senior partner runs the work and speaks to the committee. Screens mobilise in days and report in five, because deals do not wait for consultancy calendars.

02

Findings are quantified

Cost exposure, CapEx ahead and remediation are given in numbers, so the committee can price them into the deal rather than debate adjectives.

03

Fees agreed before the clock starts

Every service on this page has a published fee, confirmed in writing before work starts, whatever the deal pressure.

04

Partner led throughout

Engagements are delivered by senior reviewers and architects, with established associates across cyber, AI and data where depth is needed.

05

Independence you can verify

If we built it, we do not assure it. Findings follow the evidence, and the report says what the evidence says.

Who carries out the work

Every engagement is led by a senior partner. Nothing is offshored and nothing is handed to a junior bench.

FAQs

Questions boards ask about assurance

What does technology due diligence cost in the UK?

With Intelance: a red flag deal screen starts from £15,000 fixed and reports in five working days, credited against core diligence if the deal proceeds. Core diligence starts from £35,000 fixed in two to three weeks, and deep dive or carve out work from £90,000. Every fee depends on scope and is fixed once agreed. Active sponsors can hold the PE retainer from £8,000 a month. Every fee is fixed and agreed in writing.

How fast can diligence start on a live deal?

Screens mobilise in days and report in five working days. Core diligence reports in two to three weeks. Tell us the deal clock on the first call and we plan backwards from it. The fee does not change because the timeline is short.

What is in the diligence report?

The estate as it is: architecture and systems read directly, quantified cost exposure and CapEx ahead, a cyber risk register, AI use examined, key contracts and people risks flagged, and Day 1 readiness, written for the investment committee that has to act on it.

Do you cover cyber security and AI in due diligence?

Yes, as standard. Controls are verified rather than taken from the management pack, and the target’s AI use is examined for risk, dependency and compliance exposure, because both now move deal value.

What is a Technology Board Assurance Pack?

An independent, evidence based view of technology risk, cost and delivery health, written for boards rather than technologists. It runs three to four weeks from £18,000 + VAT, and gives the board evidence where it previously had opinions.

What happens after the deal closes?

Two things, if you want them: a post deal assurance review from £15,000 checks what you bought against what you were told, and the integration assessment from £25,000 + VAT turns the deal case into a priced, sequenced integration plan.

Do you do sell side work?

Yes. Vendor diligence from £45,000 fixed prepares an exit: buyer proof findings, remediation priorities and rehearsed answers, refreshed at twelve, six and three months before the process starts.

Who carries out the work on an Intelance assurance engagement?

A senior partner leads the work and speaks to the committee, with senior architects and reviewers doing the fieldwork and established associates across cyber, AI and data governance where depth is needed. Nothing is offshored.
